These Website Terms of Use ("Terms") govern your access to and use of the website located at eZdia.com and its related pages (collectively, the "Site"), operated by eZdia Inc. ("eZdia," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms. If you do not agree to them, do not use the Site.

1. Informational and Business-to-Business Use

The Site is primarily an informational, marketing, and lead-generation website for eZdia's business-to-business services. It does not create a client relationship merely because you visit the Site, submit a form, request information, or receive a free analysis or audit.

Unless eZdia expressly states otherwise in a separate written agreement, nothing on the Site:

·        Creates a contractual obligation for eZdia to provide services;

·        Constitutes legal, financial, accounting, or other professional advice; or

·        Guarantees that eZdia will accept you or your company as a client.

Any paid or ongoing services provided by eZdia will be governed by a separate written agreement with the applicable client. If there is a conflict between these Terms and a signed client agreement concerning services, the signed client agreement controls for those services.

2. Free Analyses, Audits, Reports, and Other Evaluations

eZdia may offer free or promotional analyses, audits, reports, evaluations, recommendations, or similar materials through the Site. These may include SEO, competitive, keyword, brand, product-content, eCommerce, or other assessments.

These materials are provided for general informational and business-evaluation purposes only. They may rely on publicly available information, third-party data sources, automated tools, estimates, assumptions, snapshots taken at a particular time, and eZdia's professional judgment.

Accordingly:

·        The information may be incomplete, delayed, estimated, or subject to change;

·        Third-party data may contain errors or limitations outside eZdia's control;

·        An analysis or audit is not a promise that any recommendation will produce a particular result; and

·        You remain responsible for evaluating whether and how to act on any information or recommendation provided.

eZdia may modify, limit, suspend, or discontinue any free analysis, audit, or promotional offering at any time.

3. Information and Materials You Submit

You may submit information to eZdia through contact forms, audit or analysis requests, email links, or other features on the Site. This may include your contact information, company information, website URLs, product information, marketing information, or other business materials.

Do not submit confidential, proprietary, or sensitive information through a general website form unless eZdia has separately agreed in writing to receive it on a confidential basis. Information submitted through the Site is not treated as confidential merely because you submit it, except where a separate written confidentiality agreement, nondisclosure agreement, or client agreement requires otherwise.

You represent that you have the right to provide any information or materials you submit. You grant eZdia a limited right to use those materials as reasonably necessary to respond to your request, prepare an analysis or audit, evaluate a potential business relationship, or otherwise provide the Site functionality you requested.

This section does not override eZdia's Privacy Policy or any separate written agreement governing client information.

4. Eligibility and Acceptable Use

You may use the Site only for lawful business or informational purposes and only if you are legally able to agree to these Terms.

You agree not to:

·        Use the Site in violation of any applicable law or regulation;

·        Attempt to gain unauthorized access to the Site, servers, accounts, systems, or networks connected to the Site;

·        Probe, scan, or test the vulnerability or security of the Site or related systems without written authorization;

·        Interfere with, disrupt, overload, damage, or impair the Site or another person's use of it;

·        Introduce malware, malicious code, or other harmful technology;

·        Impersonate eZdia or another person, or misrepresent your affiliation with eZdia;

·        Use automated tools to scrape, crawl, harvest, copy, download, or extract Site Content, except for ordinary indexing by legitimate public search engines;

·        Systematically reproduce, aggregate, republish, or create a database from Site Content; or

·        Use Site Content to train, fine-tune, test, evaluate, benchmark, develop, or improve an artificial intelligence, machine-learning, large-language-model, or similar system or dataset without eZdia's prior written permission.

eZdia may restrict or block access to the Site when we reasonably believe these Terms have been violated or the Site is being used in a way that threatens its security, operation, content, or users.

5. Intellectual Property

Unless otherwise indicated, eZdia or its licensors own the Site and the text, design, layout, graphics, images, logos, reports, articles, data presentations, and other content made available on it (collectively, "Site Content"). Site Content is protected by copyright, trademark, and other intellectual property laws.

Subject to these Terms, eZdia grants you a limited, revocable, non-exclusive, non-transferable right to access and view Site Content for your own lawful internal business evaluation and informational purposes.

Without eZdia's prior written permission, you may not:

·        Copy, reproduce, modify, distribute, sell, license, publish, or create derivative works from Site Content, except for limited quotations or uses permitted by applicable law;

·        Remove or alter copyright, trademark, attribution, or proprietary notices;

·        Use eZdia's name, trademarks, logos, or branding in a way that implies sponsorship, endorsement, or affiliation; or

·        Use Site Content for automated extraction, data mining, model training, or the development of commercial datasets or competing content products.

References on the Site to third-party companies, products, services, trademarks, or content remain the property of their respective owners.

6. Third-Party Content, Data, and Links

The Site may contain information obtained from third parties or links to third-party websites, platforms, tools, products, or services. eZdia provides these references for convenience, context, or informational purposes.

We do not control third-party websites or services and are not responsible for their availability, accuracy, security, content, products, privacy practices, or terms. A link or reference does not necessarily mean that eZdia endorses the third party.

If you access a third-party site or service, you do so at your own risk and subject to that third party's terms and policies.

7. No Guarantees or Warranties

The Site and Site Content are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, eZdia disclaims all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and availability.

eZdia does not guarantee that:

·        The Site will always be available, uninterrupted, secure, or error-free;

·        Site Content or third-party information will always be complete, current, or accurate;

·        The Site will be free from viruses or other harmful components; or

·        Use of the Site, an eZdia analysis, or information on the Site will produce any particular business result.

In particular, eZdia does not guarantee search rankings, organic traffic, AI-search or generative-search visibility, conversion rates, sales, revenue, return on investment, advertising performance, or other commercial outcomes. Search engines, AI platforms, marketplaces, advertising platforms, competitors, customer behavior, and other factors outside eZdia's control can affect results.

Case studies, testimonials, examples, benchmarks, and performance statements appearing on the Site describe particular circumstances or illustrative results. They are not promises or guarantees that you will achieve the same or similar results.

8. Limitation of Liability

To the maximum extent permitted by law, eZdia Inc. and its officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the Site or these Terms, including loss of profits, revenue, business opportunities, data, or goodwill, even if eZdia has been advised that such damages are possible.

To the maximum extent permitted by law, eZdia's total aggregate liability for all claims arising out of or relating to your use of the Site or Site Content will not exceed one hundred U.S. dollars (US $100).

This limitation applies only to claims relating to the Site and these Terms. Liability arising under a separate signed client agreement is governed by that agreement. Nothing in these Terms limits liability that cannot legally be limited or excluded.

9. Privacy

eZdia's collection and use of personal information through the Site is described in our Privacy Policy. By using the Site, you acknowledge that you have had an opportunity to review the Privacy Policy.

10. Changes to the Site and These Terms

We may change, suspend, or discontinue any part of the Site at any time. We may also update these Terms periodically to reflect changes to the Site, our business practices, or legal requirements.

When we update these Terms, we will post the revised version on the Site and change the "Last Updated" date above. Your continued use of the Site after revised Terms are posted constitutes your acceptance of the revised Terms to the extent permitted by applicable law.

11. Governing Law and Venue

These Terms are governed by the laws of the State of California, U.S.A., without regard to conflict-of-laws principles.

To the extent permitted by applicable law, any dispute arising out of or relating to these Terms or your use of the Site must be brought exclusively in the state courts located in Alameda County, California, or, where federal jurisdiction exists, in the United States District Court for the Northern District of California. You consent to the personal jurisdiction and venue of those courts.

If applicable law gives you rights that cannot be waived by these Terms, those rights remain in effect.

12. Severability and No Waiver

If any provision of these Terms is found to be unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

If eZdia does not enforce a provision of these Terms in a particular situation, that does not waive our right to enforce it later.
