This page explains the terms by which you may use our web site, web widgets, feeds, mobile device software applications, applications for third-party web sites and services, and any other mobile or web services or applications owned, controlled, or offered by Ezdia (collectively the “Site”). By accessing or using the Site you signify that you have read, understood, and agree to be bound by the following User Agreement (“User Agreement” or this “Agreement”), which includes and hereby incorporates by reference the agreements and policies referenced in this User Agreement (collectively the “Terms of Service”). Certain capitalized terms used in this User Agreement are defined here or below.

This Agreement also sets and contains all of the terms and conditions between you, an expert in your field ("Expert") and EZdia.

By clicking submit button on registration form, a binding agreement will be executed between you and EZdia. You should therefore read this Agreement carefully. If, however, you do not agree to be bound by this Service Agreement do not click the submit button in the registration form. In such case you will not be able to register as a member and/or an Expert at EZdia.

YOU AGREE THAT BY USING THIS SERVICE YOU ARE AT LEAST 18 YEARS OF AGE AND YOU ARE LEGALLY ABLE TO ENTER INTO A CONTRACT.

MEMBER’S Terms and Conditions:

SITE SERVICES

Ezdia makes the Site available as an online venue where clients for professional services (“Client(s)”) and Experts of professional services (“Expert(s)”) identify each other and work together online to complete, invoice, and pay for jobs (“Jobs”). The Site contains features that enable Clients and Experts to do, among other things, the following:

Clients: Post Jobs and Requests for Proposals, identify, interview, negotiate contract terms, hire, manage engagements, rate and pay Experts, posts contents, read contents, create profile etc..

Experts: Create profiles, advertise capabilities, submit proposals, interview, negotiate contract terms, get hired, manage engagements, invoice, get rated and receive payment from Clients, post contents, read contents etc.

RELATIONSHIP BETWEEN CLIENTS AND EXPERTS

Member Contract
The dealing, contracting and fulfillment of a Job are between a Client and an Expert. Upon Client’s award and Expert’s acceptance of a Job on the Site, Client agrees to purchase, and Expert agrees to deliver, the Expert Services in accordance with the following agreements (collectively, the “Member Contract”): (1) the Terms of Service; (2) the Job terms as awarded and accepted on the Site, to the extent not inconsistent with the mandatory Terms (defined below); (3) any other contractual provisions accepted by both Client and Expert, to the extent not inconsistent with the Mandatory Terms (defined below); and (4) the Services Agreement.

The provisions of the Services Agreement may be modified by Job terms awarded and accepted on the Site or other contractual provisions accepted by both Client and Expert and uploaded to the Site. However, the other provisions of the Terms of Service besides the Services Agreement (the “Mandatory Terms”) may not be modified.

Conflicts in the Member Contract shall be resolved in the following order of precedence: (1) the Mandatory Terms; (2) the Job terms, as awarded and accepted on the Site, to the extent not inconsistent with the Mandatory Terms; (3) any other contractual provisions accepted by both Client and Expert, to the extent not inconsistent with the Mandatory Terms; and (4) the Services Agreement. Notwithstanding anything to the contrary, Client and Expert both agree not to enter into any contractual provisions or Job terms in conflict with the Mandatory Terms. Any part of the Member Contract that conflicts with or modifies the Mandatory Terms shall be null and void while the other parts of the Member Contract shall remain valid and binding.

Client is responsible for managing, inspecting, accepting and paying for satisfactory Expert Services in accordance with the Member Contract in a timely manner. Expert is responsible for the performance and quality of the Expert Services in accordance with the Member Contract in a timely manner and professional manner, consistent with industry practice, at a location, place and time that Expert deems appropriate. The manner and means that Expert chooses to perform the Job are in Expert’s sole discretion and control. In performing the Job, Expert agrees to provide its own equipment, tools, and other materials at its own expense. Client and Expert each covenants and agrees to act with good faith and fair dealing in performance of the Member Contract.

Client is responsible for managing, inspecting, accepting and paying for satisfactory Expert Services in accordance with the Member Contract in a timely manner. Expert is responsible for the performance and quality of the Expert Services in accordance with the Member Contract in a timely manner. Client and Expert each covenants and agrees to act with good faith and fair dealing in performance of the Member Contract. Client and Expert each acknowledges and agrees that it is its responsibility to understand the requirements for each Job.

Independent Contractors
Client and Expert each acknowledges and agrees that their relationship is that of independent contractors. The Expert shall perform the Expert Services as an independent contractor and nothing in this Agreement shall be deemed to create a partnership, joint venture, agency, or employer-employee relationship between Expert and Client or between Ezdia and any Expert or Client.

Taxes, Reporting and Ezdia 1099 Service

Expert Form W-9 Requirements: As a Expert, if you enter and maintain timely, complete and accurate Account registration information on the Site, Ezdia will automatically fulfill your Form W-9 requirements, if any, to Clients who pay you through the Site.
Client Form 1099-MISC and Form 1096 Requirements: As a Client, if Ezdia notifies you that you have successfully requested and implemented the Ezdia 1099 service when posting a Job on the Site, and if you enter and maintain timely, complete and accurate Account registration information on the Site, Ezdia will automatically fulfill your Form 1099-MISC and Form 1096 requirements, if any, to Experts and to the US IRS for payments you make through the Site.
Except for reporting requirements fulfilled in accordance with the above, each Member is solely responsible for satisfying any income tax, VAT, payroll tax, payroll withholding, sales and use tax, governmental reporting and other legal requirements under applicable law, and all other requirements applicable to the purchase and sale of services from and by independent contractors.

RELATIONSHIP WITH EZDIA

Ezdia Not a Party to Jobs or Employment

Ezdia is not a party to the dealing, contracting and fulfillment of a Job between a Client and a Expert, including the Expert Services. Ezdia has no control over and does not guarantee the quality, safety or legality of Expert Services advertised, the truth or accuracy of Job listings, the qualifications, background, or abilities of Members, the ability of Experts to deliver Expert Services, the ability of Clients to pay for Expert Services, or that a Client or Expert can or will actually complete a transaction. Ezdia is not required to and does not verify any information given to us by Experts, nor does Ezdia perform background checks on Experts However, Ezdia may provide information about a Expert, such as a risk score or geographical location, or third party valuations based on data given to us by the Expert or a third party. Such information is provided for the solely for the convenience of Clients and is not an endorsement or recommendation by Ezdia.
All rights and obligations for the purchase and sale of Expert Services are solely between Client and Expert. Client and Expert must look solely to the other for enforcement and performance of all the rights and obligations arising from Member Contracts and any other terms, conditions, representations, or warranties associated with such dealings.

Third-Party Beneficiary of Member Contract
Client and Expert each acknowledges and agrees that the value, reputation, and goodwill of the Site depend on their performance of their covenants and agreements as set forth in their Member Contract. Client and Expert therefore appoint Ezdia a third-party beneficiary of their Member Contract for purposes of enforcing the obligations owed to, and the benefits conferred on, Ezdia by this Agreement. Client and Expert further agree that Ezdia has the right to take such actions with respect to the Member Contract or their Accounts, including without limitation suspension, termination, or legal actions, as Ezdia in its sole discretion deems necessary to protect the value, reputation, and goodwill of the Site.

No Agency
This Agreement and any registration for or subsequent use of this Site will not be construed as creating or implying any relationship of agency, franchise, partnership or joint venture between you and Ezdia, except and solely to the extent expressly stated.

EZDIA FEES
Service Fee and Payment Processing Fee: When Client pays a Expert or releases escrow funds to a Expert through the Site, Ezdia deducts the following amounts: (1) the “Service Fee” that Ezdia earns for creating, hosting, maintaining, and providing the Site, and for all services delivered by Ezdia that are accessible through the Site, and (2) the “Payment Processing Fee” to cover expenses and fees Ezdia incurs to banks, credit card companies, PayPal, Google Checkout and payment processors. After deducting such amounts, Ezdia transfers the remaining payment amount to the Expert. The total amount of the Service Fee plus the Payment Processing Fee deducted by Ezdia varies according to the Expert’s volume of Expert Services, as detailed on the Site. If you are an Expert and believe a Service Fee might be in error, please send in an email request at Account@ezdia.com with the details of the transaction in question.
Other Fees. Ezdia may choose to offer additional features, such as Featured Posts or verification features, for additional fees. Such features and fees are described in detail. Ezdia may also charge fees for Inactive Accounts, as described in the Billing Policy, and Dormant Escrow Accounts.
PERIOD OF EXCLUSIVITY

Clients: By visiting or using the Site you agree to use Ezdia to make all payments to Experts you identify through the Site, so that Ezdia can collect its Service Fee. You acknowledge and agree that Ezdia earns its Service Fee on all payments you make to a Expert after you identify the Expert through the Site, regardless of whether you make the payments through Ezdia or not. You agree not to take any action directly or indirectly to circumvent these fees unless you get an exception from the ezdia management team. As a Client, you also agree to notify Ezdia immediately if your Expert solicits payment from you outside the Site.

Experts: By visiting or using the Site, or by communicating with Clients identified through the Site, you agree to use Ezdia to receive all payments from Clients you identify on the Site, so that Ezdia can collect its Service Fee. You acknowledge and agree that Ezdia earns its Service Fee on all payments you receive from a Client after you identify the Client through the Site, regardless of whether you receive the payments through Ezdia or not. You agree not to take any action directly or indirectly to circumvent these fees. As a Expert, you also agree to notify Ezdia immediately if your Client seeks to pay you outside the Site.

MEMBER ELIGIBILITY AND OBLIGATIONS
To access Site Services through our Site, you must be a legal entity, or an individual in business 18 years or older who can form legally binding contracts. To register for an Account with Ezdia and become a Member, you must accept all of the terms and conditions in, and linked to, this Agreement. By becoming a Member, you agree to: (a) abide by this Agreement and the processes, procedures, and guidelines described
throughout the Site; (b) be financially responsible for your use of the Site and the purchase or delivery of Expert Services; and (c) perform your obligations as specified by any Member Contract that you accept, unless such obligations are prohibited by law or by this Agreement. Ezdia reserves the right in its sole discretion to refuse, suspend, or terminate service to anyone for any reason or no reason.

ACCOUNTS
To become a Member and access Site Services through our Site you must register for an "Account.” You agree to provide true, accurate and complete information as prompted by the registration form and all forms you access on the Site, and to update this information to maintain its truthfulness, accuracy and completeness. You cannot register for more than one Client Account and one Expert Account without express written permission from Ezdia.

Your Ezdia Account (including feedback) and username are not transferable, and any transfer or attempted transfer to another party is null and void.

USERNAMES AND PASSWORDS
When a Member registers an Account, the Member will be asked to choose a username and password for the Account. The Member and will also be asked to choose the initial username and password. As a Member, you agree and you are entirely responsible to safeguard and maintain the confidentiality of the username and password you use to access this Site. You agree to notify us immediately if you suspect or become aware of any unauthorized use of the Account.

THIRD-PARTY CONTENT

Directory of Experts
The Site contains a directory of Experts. The directory is populated with information from third-party sources, from Experts themselves, and from other Members. Ezdia provides this directory as a convenience and does not confirm or verify the information contained in it.

Verification and Monitoring
Ezdia will make this service available on request at this time. Please send an email with the expert’s name and the reason for verification to service@ezdia.com.
Ezdia will come out with a more comprehensive feature for verification in the future.

This Site may contain links to other Web sites or resources and access and use of certain services offered by third parties, including online communication services such as chat, email and calls and your access and use of those Web sites, resources or services, including the online communication services, will be governed by the terms and policies of the Web site or resource or Expert. These services are owned and operated by the
third-party Experts and their licensors. You acknowledge and agree that Ezdia is not responsible or liable for: (i) the availability or accuracy of such sites or resources; or (ii) the content, advertising, or products on or available from such Sites or resources. The inclusion of any link on the Site does not imply that we endorse the linked site. You use the links and these services at your own risk.

LICENSES AND SITE ACCESS

Access and Interference
Visitors and Users must access Secure Areas through browsers employing an encryption level of at least one hundred twenty eight (128) bits. You understand and agree to immediately stop using or accessing Secure Areas if your browser does not support such a level of encryption. If your browser does not allow such encryption then you may be blocked from using the Site.
The Site contains robot exclusion headers. You agree that you will not use any robot, spider, scraper or other automated means to access the Site for any purpose without our express written permission.
Additionally, you agree that you will not: (a) take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure; (b) copy, reproduce, modify, create derivative works from, distribute, or publicly display any content (other than content you have submitted to the Site) from the Site, any software code that is part of the Site, or any services that are offered on the Site without the prior express written permission of Ezdia and the appropriate third party, as applicable; (c) interfere or attempt to interfere with the proper operation of the Site or any activities conducted on the Site; (d) bypass any measures we may use to prevent or restrict access to the Site or any subparts of the Site including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of the Site or the content therein; (e) transmit spam, chain letters, or other unsolicited communications; (f) attempt to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Site; (g) upload invalid data, viruses, worms, or other software agents through or to the Site; (h) collect or harvest any personally identifiable information, including account names, from the Site; or (i) access any content on the Service through any technology or means other than those provided or authorized by the Service.

User Content
Some areas of the Site may allow Users to post feedback, comments, questions, and other information (“User Content”). You are solely responsible for your User Content that you upload, publish, display, link to or otherwise make available (hereinafter, “post”) through the Site, and you agree that we are only acting as a passive conduit for your online distribution and publication of your User Content. You understand that whether or not such User Content is published, Ezdia does not guarantee any confidentiality with respect to any User Content.
You agree not to post User Content that: (i) may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, to any other person, or to any animal; (ii) may create a risk of any other loss or damage to any person or property; (iii) seeks to harm or exploit children by exposing them to inappropriate content, asking for personally identifiable details or otherwise; (iv) may constitute or contribute to a crime or tort; (v) contains any information or content that we deem to be unlawful, harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, humiliating to other people (publicly or otherwise), libelous, threatening, profane, or otherwise objectionable; (vi) contains any information or content that is illegal (including, without limitation, the disclosure of insider information under securities law or of another party’s trade secrets); (vii) contains any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships; or (viii) contains any information or content that you know is not correct and current. Ezdia reserves the right, but is not obligated, to reject and/or remove any User Content that Ezdia believes, in its sole discretion, violates these provisions. You understand that publishing your User Content on the Service is not a substitute for registering it with the U.S. Copyright Office, the Writer’s Guild of America, or any other rights organization.
Ezdia takes no responsibility and assumes no liability for any User Content that you or any other User or third party posts or sends over the Service. You understand and agree that any loss or damage of any kind that occurs as a result of the use of any User Content that you send, upload, download, stream, post, transmit, display, or otherwise make available or access through your use of the Service, is solely your responsibility. Ezdia is not responsible for any public display or misuse of your User Content. You understand and acknowledge that you may be exposed to User Content that is inaccurate, offensive, indecent, objectionable, or inappropriate for children, and you agree that Ezdia shall not be liable for any damages you allege to incur as a result of such User Content.
Furthermore, Ezdia has no editorial control over User Content posted by Users on the Site and is not responsible for and does not monitor such content for accuracy or reliability. Ezdia does not confirm or verify whether a Expert has the expertise, or is qualified or licensed to provide the Expert Services or advice being requested.

User License to Ezdia
You retain all your ownership rights in your User Content. By posting any User Content on the Site, you expressly grant, and you represent and warrant that you have a right to grant, to Ezdia a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, publicly perform, publicly display, and make derivative works of all such User Content and your name, voice, and/or likeness as contained in yourUser Content, in whole or in part, and in any form, media or technology, whether now known or hereafter developed, for use in connection with the Site and Ezdia’s (and its successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the Site (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each User of the Site a non-exclusive license to access your User Content through the Site, and to use, reproduce, distribute, display and perform such User Content as permitted through the functionality of the Site and under this Agreement.
The above licenses granted by you in your User Content terminate within a commercially reasonable time after you remove or delete your User Content from the Site. You understand and agree, however, that Ezdia may retain, but not display, distribute, or perform, server copies of User Content that have been removed or deleted. The above licenses granted by you in User Content for which the Site does not provide you a means to delete or remove are perpetual and irrevocable.
You may choose to or we may invite you to submit comments or ideas about the Site, including without limitation about how to improve the Site or our products Ideas”). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place Ezdia under any fiduciary or other obligation, and that we are free to use the Idea without any additional compensation to you, and/or to disclose the Idea on a non-confidential basis or otherwise to anyone. You further acknowledge that, by acceptance of your submission, Ezdia does not waive any rights to use similar or related ideas previously known to Ezdia, or developed by its employees, or obtained from sources other than you.

Additional User Representations and Warranties
You shall be solely responsible for your own User Content and the consequences of posting or publishing it. In connection with your User Content, you affirm, represent and warrant, in addition to the other representations and warranties in this Agreement, the following:
a. You are at least 18 years of age or a legal entity and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Agreement, and to abide by and comply with this Agreement.
b. You have the written consent of each and every identifiable natural person in the User Content to use such person’s name or likeness in the manner contemplated by the Site and this Agreement, and each such person has released you from any liability that may arise in relation to such use.
c. Your User Content and Ezdia’s use thereof as contemplated by this Agreement and the Site will not infringe any rights of any third party, including but not limited to any Intellectual Property Rights, privacy rights and rights of publicity.
d. Ezdia may exercise the rights to your User Content granted under this Agreement without liability for payment of any guild fees, residuals, payments, fees, or royalties payable under any collective bargaining agreement or otherwise.

Ezdia License to User
Subject to and conditioned on compliance with this Agreement, Ezdia grants you a limited license to access and, if you are a Member, to use this Site internally for the purpose of ordering and receiving the Site Services available and authorized from this Site. You must not sell, reproduce, distribute, modify, display, publicly perform, prepare derivative works based on, repost or otherwise use any content of this Site in any way for any public or commercial purpose without prior written consent of Ezdia or the rights holder. You must not use any content of this Site on any other Web site or in a networked computer environment for any purpose except your own internal viewing. You will not attempt to reverse engineer or attempt to interfere with the operation of any part of this Site unless expressly permitted by law. This Site or any portion of this Site may not be reproduced, duplicated, copied, sold, resold or otherwise exploited for any commercial
purpose that is not expressly permitted by Ezdia. Ezdia and its licensors retain all of its right, title and interest in and to all patent rights, inventions, copyrights, know-how, and trade secrets relating to the Site. The Ezdia logo and name are trademarks of Ezdia, and may be registered in certain jurisdictions. All other product names, company names, marks, logos and symbols on the Site may be the trademarks of their respective owners.
Except as expressly stated above, nothing in this Agreement confers any license under any of Ezdia's or any third party's Intellectual Property Rights, whether by estoppel, implication or otherwise.

RESOLUTION OF DISPUTES BETWEEN MEMBER AND EZDIA
If a dispute arises between you and Ezdia, our goal is to resolve such dispute quickly and cost-effectively.
Accordingly, you and Ezdia agree that we will resolve any claim or controversy at law or equity that arises between us out of this Agreement or the Ezdia Services (a “Claim”) in accordance with this section entitled “Resolution of Disputes Between Member and Ezdia.” Before resorting to these alternatives, you agree to first contact Ezdia directly to seek dispute assistance.

Law and Forum for Disputes
This Agreement is governed in all respects by the laws of the State of Texas without giving effect to any principle that may provide for the application of the law of another jurisdiction. You agree that any claim or dispute you may have against Ezdia must be resolved by a court located in Sugar Land, Texas, or as described in the Arbitration Option paragraph below. You hereby submit to the exclusive personal jurisdiction of the courts located within Sugarland County, Texas for the purpose of litigating all such claims or disputes. Any cause of action you may have with respect to this Site must be commenced within 30 days after it arises, or the cause of action is barred.

Arbitration Option
For any claim arising between you and Ezdia (excluding claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, the party requesting relief may elect to resolve the dispute in a cost-effective manner through binding non-appearance-based arbitration. A party electing arbitration must initiate such arbitration through an established alternative dispute resolution (“ADR”) Expert mutually agreed upon by the parties. The ADR Expert and the parties must comply with the following rules: (a) the ADR Expert will specify whether the arbitration will be conducted by telephone, online, or solely based on written submissions; (b) the arbitration will not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and (c) if an arbitrator renders an award the party receiving the award has the right to enter any judgment on the award in any court of competent jurisdiction.

Improperly Filed Claims
Should you file a claim contrary to this section entitled “Resolution of Disputes Between Member and Ezdia,” Ezdia will be entitled to recover attorneys’ fees and costs up to $2,000, provided that Ezdia has notified you in accordance with this Agreement of the improperly filed claim, and you have failed to promptly withdraw the claim.

TERM, TERMINATION AND SUSPENSION
This Agreement shall become effective as your contractual agreement upon your acceptance or your use of the Site, and shall continue until your Account is terminated by Ezdia or you as provided for under the terms of this Section.
Unless otherwise agreed to in writing between the parties, either party may terminate the contractual agreement represented by this Agreement at any time upon notice to the other party. In such event, your Account is automatically terminated and (i) Ezdia shall continue to perform those Ezdia Services necessary to complete any open transaction between you and another Member; and (ii) you shall continue to be obligated to pay any amounts accrued but unpaid as of the date of termination to Ezdia for any Site Services and to any Experts for any Expert Services.
Without limiting Ezdia's other remedies, we may issue a warning, or temporarily suspend, indefinitely suspend or terminate your Account or a Job, and refuse to provide any or all Site Services to you if: (a) you breach the letter or spirit of any terms and conditions of this Agreement or the linked policies and information incorporated herein by reference, including our written policies and procedures posted on the Site; (b) we suspect or become aware that you have provided false or misleading information to us; or (c) we believe in our sole discretion that your actions may cause legal liability for you, our Members or for Ezdia or are contrary to the interests of the Site or the Ezdia user community. Once indefinitely suspended or terminated, you must not continue to use the Site under the same Account, a different Account, or reregister under a new Account.
In addition, violations of this Agreement may be prosecuted to the fullest extent of the law and may result inadditional penalties and sanctions.
Without limiting Ezdia's other remedies, to the extent you engage in actions or activities which circumvent the Ezdia Site or otherwise reduce fees owed Ezdia under this Agreement, you must pay Ezdia for all fees owed to Ezdia and reimburse Ezdia for all losses and costs (including any and all Ezdia employee time) and reasonable expenses (including attorney fees) related to investigating such breach and collecting such fees.
Ezdia reserves the right to terminate any User access, Account, or Job for any reason or no reason, at its sole discretion and to refuse to provide registration and membership to you in the future. We will notify you if we cancel your membership, unless in our judgment giving notice would cause a risk of further violation or damages. However, we will notify you that your Account will be canceled if the law requires such notification.
When your Account is terminated for any reason, you may no longer have access to data, messages, files and other material you keep on the Site. The material may be deleted along with all your previous posts and proposals.

Notification of Ezdia Members
You acknowledge and agree that the value, reputation and goodwill of the Site depend on transparency of Member Account status to all Members, including both yourself and other Members who are participating in Jobs with you. You therefore agree as follows: IF EZDIA SUSPENDS OR TERMINATES YOUR ACCOUNT OR JOB, EZDIA HAS THE RIGHT BUT NOT THE OBLIGATION TO (1) NOTIFY OTHER MEMBERS ENGAGED IN ACTIVE JOBS WITH YOU TO INFORM THEM OF YOUR SUSPENDED OR TERMINATED ACCOUNT OR JOB STATUS, AND (2) PROVIDE THEM WITH SUMMARY REASONS FOR THE ACTION.

EXPERT’s Terms and Conditions:
By registering as an Expert and agreeing to the terms and conditions of this Agreement, you also are agreeing to the terms of EZdia's Privacy Policy which is incorporated into this Agreement. When you register as an Expert you automatically become a site Member, therefore the provisions of EZdia's Terms of Service and Member Agreement are an integral part hereof, and are incorporated herein as part of this Agreement.
Definition of Service: EZdia.com provides a platform where an Expert may associate relevant content, share with other experts, market his or her expertise and sell advice or services to interested EZdia users ("Members"). EZdia makes no representation or warranty whatsoever as to the willingness or ability of Members to pay for any advice given by the Expert. Therefore, Expert is encouraged to verify the details and credit-worthiness of those Members to whom Expert gives or contemplates giving advice. Disclaimer of Warranty and Limitation of Liability
THE EXPERT ACKNOWLEDGES AND AGREES THAT EZDIA.COM IS BEING PROVIDED FOR USE AS IS, AND THEREFORE EXPERT WILL NOT HAVE ANY PLEA, CLAIM OR DEMAND VIS-A-VIS EZDIA IN RESPECT TO EZDIA.COM'S MEMBERS, PROPERTIES, LIMITATIONS OR COMPATIBILITY WITH THE EXPERT'S NEEDS. THE USE OF EZDIA.COM IS ACCORDINGLY BEING MADE AT THE EXPERT'S SOLE AND ENTIRE RISK, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, COMPATIBILITY, SECURITY OR ACCURACY. EZDIA EXPRESSLY DISCLAIMS ALL WARRANTIES FOR INFORMATION POSTED OR TRANSMITTED BY ITS MEMBERS. IF AN EXPERT DECIDES TO PROVIDE EXPERT’S SERVICES THROUGH THE USE OF EZDIA.COM, EXPERT MUST EXERCISE A REASONABLE STANDARD OF CARE, AT LEAST THE SAME AS EXPERT WOULD IN A SIMILAR TRANSACTION NOT CONDUCTED THROUGH THE INTERNET, OR THE STANDARD OF CARE MANDATED BY HIS OR HER PROFESSION, WHICHEVER IS HIGHER. THE EXPERT SHALL NOT HAVE ANY PLEA, CLAIM OR DEMAND AGAINST EZDIA, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS IN RESPECT OF ANY SERVICES EXPERT DECIDES TO PROVIDE IN CONNECTION WITH THE USE OF EZDIA.COM. EZDIA WILL NOT BE DEEMED THE EXPERT OR RECIPIENT OF ANY SERVICES ACQUIRED THROUGH EZDIA.COM. THE SALE OR PURCHASE OF SERVICES IS ACCORDINGLY EFFECTED AT THE EXPERT'S SOLE AND ENTIRE RISK. UNDER NO CIRCUMSTANCES WILL EZDIA, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS BE LIABLE TO ANY EXPERT FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF BUSINESS, REVENUE, PROFITS, USE, DATA OR OTHER ECONOMIC ADVANTAGE), HOWEVER IT ARISES, WHETHER IN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, OR ARISING FROM THE SERVICES OR ANY PROVISION OF THIS AGREEMENT. EZDIA, ITS AFFILIATES, THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS’ AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING WITH RESPECT TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL AMOUNT OF MONEY PAID TO EZDIA BY EXPERT THROUGH EZDIA.COM IN THE SIX MONTH PERIOD PRIOR TO THE DATE THE CLAIM AROSE. EXPERT ACKNOWLEDGES AND AGREES THAT EZDIA DISCLAIMS ANY LIABILITY WITH RESPECT TO ANY CLAIM, SUIT OR ACTION BROUGHT BY A MEMBER IN CONNECTION WITH PROVISION OF ANY SERVICES BY EXPERT (INCLUDING, WITHOUT LIMITATION, REPRESENTATIONS BY THE EXPERT AS TO EXPERT’S QUALIFICATIONS AND ADVICE PROVIDED BY THE EXPERT) THROUGH THE EZDIA SERVICE AND EXPERT AGREES TO INDEMNIFY AND HOLD EZDIA HARMLESS IN CONNECTION WITH ANY SUCH CLAIM AND ANY DAMAGES OR EXPENSES ARISING THEREFROM. EZDIA WILL NOT BE LIABLE FOR ENFORCING ANY AGREEMENT THAT WAS MADE BETWEEN AN EXPERT AND A MEMBER, INCLUDING EXPERT FEE AGREEMENT. EXPERT WILL BE SOLELY RESPONSIBLE FOR ANY AGREEMENT MADE WITH A MEMBER. EXPERT FURTHER ACKNOWLEDGES THAT EXPERT WILL SOLELY BE RESPONSIBLE AND LIABLE FOR ANY DAMAGES TO ANY MEMBER TO WHOM EXPERT PROVIDES SERVICES AND WHERE THAT MEMBER SUFFERS DAMAGES ARISING FROM OR CONNECTED TO SUCH SERVICES. IN THE EVENT OF A DISPUTE REGARDING ANY TRANSACTION CONDUCTED THROUGH EZDIA.COM, EXPERT HEREBY RELEASES EZDIA AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS FROM ALL MANNER OF ACTIONS, CLAIMS OR DEMANDS AND FROM ANY AND ALL LOSSES (DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL), DAMAGES, COSTS OR EXPENSES, INCLUDING, WITHOUT LIMITATION, COURT COSTS AND ATTORNEY'S FEES, WHICH EXPERT MAY HAVE AGAINST ONE OR MORE OF THE ABOVE. IF YOU ARE A PHYSICIAN, MENTAL HEALTH PROFESSIONAL OR OTHER MEDICAL EXPERT: THE ADVICE OR INFORMATION YOU PROVIDE TO MEMBERS IS FOR INFORMATIONAL PURPOSES ONLY AND CANNOT BE CONSIDERED A SUBSTITUTE FOR A FACE-TO-FACE PHYSICAL EXAMINATION OF THE MEMBER BY A MEDICAL PROFESSIONAL. YOU WILL PROVIDE INFORMATION AND ADVICE ONLY ABOUT NON-EMERGENCY MATTERS. FOR EMERGENCY MATTERS YOU WILL INSTRUCT THE MEMBER TO IMMEDIATELY CALL 911 OR THEIR LOCAL EMERGENCY ASSISTANCE NUMBER. IF YOU ARE A PHYSICIAN, MENTAL HEALTH PROFESSIONAL OR OTHER MEDICAL EXPERT, YOU WILL NOT ENGAGE IN THE PRACTICE OF MEDICINE OR ENTER INTO A PHYSICIAN/PATIENT RELATIONSHIP WITH ANY MEMBER THROUGH EZDIA.COM. IN ADDITION, YOU AGREE THAT YOU: Additional Expert Representations and Warranties By submitting the Expert registration form, you, the Expert, represent, warrant and agree to the following:
Expert's Conduct:
You, the Expert, will be solely and fully liable for all conduct, services, advice, postings and transmissions that are made under your user name and password. You represent, warrant and declare that while you are using eZdia.com as and Expert, you will act according to the following rules: eZdia may review the Expert's personal profile and amend any typing or spelling errors. eZdia cannot and will not verify or examine the truthfulness or accuracy of the details in the Expert’s personal profile, credentials, qualifications, or any of Expert’s postings or transmissions. However, eZdia may, in its absolute discretion, remove or refuse to post or transmit any content uploaded by the Expert. Without derogating from the above, eZdia may remove any content violating this Agreement. The Expert will bear all the risks associated with the uploading and transmitting material utilizing eZdia.com, including reliance on its accuracy, reliability or legality.

Expert and eZdia Fees
Starting March 30, 2010, EZdia's commission structure (the "EZdia Commission") will be as follows:
All Services 10%

eZdia reserves the right to modify the eZdia Fees at any time without prior notice. However, eZdia will use reasonable efforts to notify the Expert in advance of any such change via e-mail and/or messages in the Expert's "Mailbox," found under the "My eZdia" menu, and/or posting modifications to the Site. The eZdia Commission will be deducted from any Expert Fees or other payment that will be received by eZdia and credited to the Expert's account immediately upon receipt of such payment. Within thirty (30) days following the end of each month, eZdia will deliver payment to Expert as follows: the Expert Fees actually received by eZdia in the prior month less the applicable eZdia Commission and applicable tax or withholding taxes (if there is any). However, if the payment to Expert for any given month would be less than $50, eZdia may hold such payment to Expert until the amount due is equal to or exceeds $50. eZdia will send the Expert payment via the postal service in checks drawn from a United States bank or via other payment methods as will become available (e.g. PayPal). Expert alone is responsible for reporting and paying any applicable tax or tariffs levied on him in connection with fees receivable or received due to Expert’s participation in eZdia.com.
Notwithstanding the foregoing, Expert authorizes eZdia to withhold, in its discretion, payments to Expert of certain amounts paid by Members by credit card until adequate time has passed to ensure that the payment will not be disputed by the paying Member or charged back by such Member's credit card issuer, or, if eZdia reasonably believes that fraudulent activity may have occurred in connection with payment, until eZdia is able to verify that no such activity has occurred. eZdia's billing system is not error-free, and eZdia shall not be liable for any problems, miscalculations or malfunctions in processing Expert Fees or other payments due to the Expert. If the Expert thinks that a mistake has occurred he or she must send his/her complaint to accounting@eZdia.com within 30 days of discovery of such mistake. If for any reason the Member has not paid the Expert Fee or has paid but has later charged back such payment, no Expert Fees will be paid to the Expert for that transaction and if the money has already been sent to the Expert, Expert is required to repay this amount to eZdia, and eZdia has the right to deduct this amount from the Expert's account or from the following payments to be made from eZdia to Expert. For Experts who simultaneously participate as Members, eZdia shall be entitled to transfer or set-off payments from an Expert’s pending earnings against such Expert’s outstanding balance as a Member.
User Name and Password
When you, the Expert, create and open an account with eZdia, you will be asked to provide a user name and password. You are entirely responsible for maintaining the confidentiality of your password and user name and any other security information related to your account. You will be fully responsible for all activities that occur under your account, user name or password. You may not use the account, username or password of someone else at any time. You will immediately notify eZdia of any unauthorized use of your password, user name, e-mail or any other breach of security. eZdia encourages Experts to change their password at least once a month.
eZdia will not be liable for any loss that you incur as a result of someone else using your account or your password, either with or without your knowledge. You may be held liable for any losses incurred by eZdia due to someone else’s use of your account or password.
Expert Information
Expert does not have to furnish the information required for registration in eZdia.com. However, without that information, Expert will not be able to use eZdia's services. eZdia Inc. is the sole owner of the information collected on this Site. eZdia will not sell, share, or rent this information to others in ways different from what is disclosed in this Agreement. By consenting to this Agreement, you agree and acknowledge that eZdia may collect, process, and transfer any information, private or otherwise, so long as eZdia does so for the purpose for which it was collected.
In order to use eZdia.com, both Members and Experts must first complete the registration form. During registration, the Expert is requested to furnish contact information, such as name and e-mail address. This information is used to contact the Expert about the services on eZdia.com for which he or she has expressed interest, and is also used as Expert's login information. Expert is encouraged to provide additional personalized information (such as experience and qualifications) and unique identifiers (such as a screen name), so eZdia may provide a more personalized experience on the Site. In such case Expert may decide whether he or she wishes to provide such information or not.
The information furnished by the Expert during the registration process will be kept in eZdia's database. eZdia will use reasonable means to protect the integrity and safety of the database. However, such means are not fault-proof and eZdia will therefore not be liable for any direct, indirect, consequential or incidental damage that the Expert may sustain due to unauthorized intrusion to the database. Expert consents to eZdia collecting and processing Expert's personal information for normal business use by eZdia.
Expert and Member Communication
The main purpose of eZdia is to provide a platform for registered Experts to provide Members with advice that they seek. By utilizing eZdia.com Experts and Members can negotiate and enter into a contract for advice. eZdia does not screen or edit the content of communications between Experts and Members, but eZdia may screen, copy, transmit and review all communications conducted by or through eZdia.com for technical support and/or in order to uphold the terms of this Agreement. Such communications are confidential, personal and private unless both the Member and the Expert agree to other distribution, for example, by posting questions or services on the Public Board (described later). All communications between Experts and Members are NOT encrypted and thus may be subject to unauthorized interception and monitoring. Currently, chat communications between the Expert and eZdia's servers are encrypted, but only if the Expert is using the most current version of eZdia's software. E-mail and phone communications are not encrypted and thus may be more susceptible to unauthorized monitoring.
eZdia makes a Public Board available to its Experts and Members. The Public Board allows Members to post questions or service requests that can be viewed by all Experts. Requests may be posted anonymously. A Member can designate the length of time they wish to have their question remain "in view" on the public board. All postings, descriptions, etc. are public until a Member enters into a personal negotiation with an Expert. All subsequent communications between the Member and Expert, including both the negotiation phase and the actual relaying of service, are not available to other eZdia Members and are confidential between the Expert and Member. Transcripts of chat and e-mail communications between Members and Experts are stored on eZdia servers for a certain amount of time and available for review by Experts and, if a paid session, by Members. eZdia clearly denotes to its users which communications are visible to the public and those that are visible to specific, individual users only.
Cookies
eZdia makes use of cookies to store information. A cookie is a piece of data stored on the Expert's hard drive containing information about the Expert. For instance, by accepting a cookie by eZdia.com, Expert will not have to enter his or her login information (his or her e-mail and password) every time he or she logs into his or her account, thereby saving time while on eZdia.com. If the Expert rejects the cookie, he or she may still use eZdia.com; however, the Expert will simply have to login each time he or she visits the Site. Cookies can also be used to enable eZdia to track and target the interests of Expert in order to enhance his or her experience on eZdia.com. Of course, if the Expert shares his or her computer with others, others may be able, with certain browsers or under certain circumstances, to read the Expert's communications with Members and eZdia.com. If Expert shares a computer with others, Expert should either disable cookies or enable cookies but sign out of eZdia when Expert no longer uses the computer or when someone else is going to use that same computer.
eZdia Use of Data
eZdia uses IP addresses to analyze trends, administer the site, track Expert's movements on the site, and gather broad demographic information for aggregate use. IP addresses are also linked to personally identifiable information in order to enhance the Expert's experience when using our site. eZdia may also retain any e-mails, letters or other correspondence between Expert and eZdia to ensure quality control and the best possible service, although it has no obligation to do so. eZdia may use the information furnished by the Expert, as well as information that it collects regarding use patterns and transactions that are conducted through eZdia.com, in order to improve eZdia.com, to analyze statistical information regarding eZdia.com, and to furnish such statistics to third parties, including advertisers. Information furnished to third parties will not identify the Expert personally. eZdia may from time to time send e-mail advertisements to Expert, whether the material is its own or is commercial information furnished by third parties. Expert is given the opportunity to "opt-out" of having his or her information used for purposes not directly related to eZdia.com at the point where eZdia asks for such information. eZdia's registration form has an opt-out mechanism to allow for removal from newsletters, promotions, etc., and Experts can always choose to opt-out by following the appropriate mechanism from within Expert's eZdia account. eZdia may use the details of transactions executed through eZdia.com for promotional and informational purposes and publish their details on eZdia.com, provided that such publication will not identify the Expert or Member in any means other than their Screen Name. If the Expert elects to use eZdia's referral service for informing a friend about the Site, eZdia asks the Expert for the friend's name and e-mail address. eZdia will automatically send the friend a one-time e-mail inviting them to visit the Site. eZdia stores this information for the sole purpose of sending this one-time e-mail. The friend may contact eZdia at service@eZdia.com to request the removal of this information from its database.
Currently, eZdia does not share aggregated information with our partners and advertisers, but may do so in the future. This will not be linked to any personal information that can identify any individual person. eZdia will use a PayPal and Google checkout integration to bill users for use of the eZdia service. These companies do not retain share, store or use personally identifiable information for any secondary purpose.
eZdia reserves the right to partner with another party to provide specific services. When the Expert signs up for these services, eZdia will share names, or other contact information that is necessary for the third party to provide these services. These parties are not allowed to use personally identifiable information except for the purpose of providing these services or as otherwise specified in the registration process for such services.
eZdia may assign, transfer, rent, sell or lease its database, without giving the Expert any prior notice, to any other subsidiary of eZdia's holding company, eZdia's subsidiaries and, in case of merger or bankruptcy, to the surviving entity after such merger or bankruptcy or to any third party that will ratify eZdia's privacy policy. eZdia may divulge to a third party personally identifiable information and transaction details according to a judicial writ, demands of governmental authorities, and in any legal proceedings between eZdia and the Expert. In addition, eZdia may disclose personally identifiable information to the Member or to public authorities to deal with emergency situations or situations where the Expert's safety may be in jeopardy. eZdia may, in its discretion, create co-branded Web sites with its partners. In such case, the Expert listings may appear in the co-branded site, but eZdia will not transfer any personally identifiable information about the Expert to the other Web site without receiving the Expert's prior consent. The co-branded sites are maintained on eZdia servers. Unless Expert agrees otherwise all personally identifiable information is stored solely by eZdia. eZdia does record the partner Web site from which a visitor has linked to eZdia. If a visitor registers to become a Member and/or an Expert, eZdia may track the partner's name, in order to further the relationships eZdia has with its partners.
REWARDS POINTS TERMS AND CONDITIONS

PLEASE READ THIS USER AGREEMENT CAREFULLY BEFORE USING THIS WEB SITE OR ENROLLING IN THE EZDIA.COM (“EZDIA”) REWARDS PROGRAM. THIS AGREEMENT SETS FORTH THE TERMS AND CONDITIONS UPON WHICH USERS OF THIS WEB SITE MAY USE THE SERVICES OFFERED BY EZDIA. YOUR USE OF THIS WEB SITE AND THE SERVICES PROVIDED HEREON ARE CONDITIONED UPON YOUR ACCEPTING ALL OF THE TERMS, CONDITIONS, POLICIES AND NOTICES SET FORTH IN THIS USER AGREEMENT OR INCORPORATED BY REFERENCE HEREIN. USE OF THIS WEB SITE CONSTITUTES ACCEPTANCE OF ALL TERMS, CONDITIONS, POLICIES AND NOTICES.

Upon enrollment in the EZDIA, you may be entitled to earn EZDIA rewards points (" Reward Points") that may be redeemed by you for eZdia services, higher visibility on eZdia, access to eZdia experts for free, free expert help, free conversation with experts, Visa gift cards or other gifts at the sole option of EZDIA subject to the additional terms set forth herein or otherwise imposed by EZDIA. You, as a member, acknowledge and agree that EZDIA makes absolutely no representations or warranties with respect to the Rewards offered by EZDIA, nor does EZDIA represent or warrant that EZDIA will ultimately redeem Reward Points and provide you with eZdia services, access to free expert help, Visa gift cards or fulfill any other obligations that EZDIA may owe to you.

In addition, EZDIA is under no obligation to provide you with any particular number of Rewards Points earning opportunities or to send any updates, messages or correspondence to you, and EZDIA reserves the right to limit, restrict or cancel your Rewards Points at any time. Users with no activity for more than one year may forfeight their points.

Rewards Points

EZDIA may offer you reward points if you share its services, help us grow via marketing, become an affiliate, sharing a posted project, sending a posted project to your connections, sharing skills on eZdia on facebook, twitter and other social networking platform, sharing various eZdiia’s activities to friends, via email or social networks, using the EZDIA Web site or for referring customers to EZDIA who participate in the Rewards Program. The Rewards Points are redeemable for various eZdia’s services, eZdia’s experts, eZdia’s knowledge base, Visa gift cards at the sole discretion of EZDIA. For some of unique events, you may earn rewards points. Additionally, you may earn Rewards Points for referring a friend who becomes a member of the Rewards Program.

Points not redeemed within 2 years of being earned shall be cancelled.

Terms of Use

As a condition to your use of this Web Site and your participation in the Rewards Program, if applicable, you represent and warrant to EZDIA that (i) you are 13 years of age or older, (ii) you possess the legal authority to enter into this User Agreement, (iii) you will only use this Web Site in accordance and compliance with terms and conditions stated herein and the policies promulgated by EZDIA from time to time, (iv) you are not enrolling in the Rewards Program for or on behalf of a corporation or other similar business entity, (v) you will only enroll for one EZDIA account, (vi) you will not distribute or otherwise share your Rewards Program access code with any other person or entity, and (vii) you are a legal resident of the country the Ezdia gift card will be mailed to. Void where prohibited. By using the service, you assert that any and all information provided to EZDIA by you is true and accurate in all respects.

You acknowledge that EZDIA allows only one email address per member of the Rewards Program.

In connection with your use of this Web Site or the Rewards Program, you agree to be bound by and comply with any and all (i) terms and conditions contained in this User Agreement, (ii) policies set forth on this Web Site from time to time, and (iii) terms or policies promulgated by any advertiser.

You agree that you shall not to abuse your privileges to use this Web Site or the Rewards Program by engaging in conduct that may be detrimental to the interests of EZDIA or any advertiser on this Web Site, including without limitation (i) attempting to accrue Rewards Points in a manner inconsistent with (a) the policies promulgated by EZDIA from time to time, (b) the policies promulgated by any advertiser from time to time, or (c) the terms and conditions contained in this User Agreement, (ii) operating multiple Rewards Program accounts, (iii) attempting to earn Rewards Points through unauthorized means such as the use of bots, web rings, intelligent agents, or software designed to mimic the actions of human operation, (iv) participating in purchasing or redemption fraud, or (v) tampering with any HTML links that appear on this Web Site.

EZDIA reserves the right to terminate, penalize or disable, at EZDIA’s sole discretion, your Rewards Points if EZDIA believes that your account has been used in violation of or in a manner that is inconsistent with the policies of EZDIA or the terms and conditions contained herein. You understand and agree that if EZDIA terminates your membership account, you will not be able to redeem any Rewards Points and that upon termination of your membership; all of the Rewards Points will be cancelled.

You acknowledge and agree that (i) EZDIA’s determination of the existence of abuse, fraud, or any other violation of this User Agreement or any policies affecting your access to this Web Site or your participation in the Rewards Program, and (ii) any decision made by EZDIA regarding the termination of your membership (including cancellation of Rewards Points) shall be final and binding upon you.

Rewards Points may be redeemed for Visa gift cards or other gifts at the sole and absolute discretion of EZDIA, and in a manner consistent with the Rewards Program policies, as promulgated from time to time.

You acknowledge and understand that Reward Points have no cash value.

EZDIA reserves the right to limit the redemption of Rewards Points. Upon redemption of Rewards Points by you, the appropriate number of Rewards Points will be debited from your account.

You agree as a condition to your right to redeem any Rewards that you will make sure that all information in your personal profile is up-to-date, accurate and complete. In the event that your address (U.S. Mail or email) changes, you will promptly notify EZDIA of such change by updating the information contained in you personal profile section. You acknowledge that your discontinued participation in the Rewards Program or failure to notify EZDIA of any address (U.S. Mail or email) or profile changes may result in the termination of your membership in the Rewards Program and your forfeiture of all unredeemed Rewards Points contained in your Rewards Program account.

EZDIA reserves the right to cancel or disable your membership in the Rewards Program if your membership has been Inactive for a period of 3 consecutive months. The term "Inactive" shall be defined as lack of one of the following: Web site visit (click through); email response; survey completion; profile update; or any Rewards Points earning or spending transaction.

EZDIA reserves the right to restrict or cancel the opportunities to earn Rewards Points available to you while your Rewards Program membership remains Inactive.

EZDIA reserves the right to cancel or disable your membership in the Rewards Program prior to or after user cash out requests.

As a condition to your use of this Web Site and/or the Rewards Program, you agree to comply with any laws, rules, and regulations that are applicable to you as a member or otherwise. If an Expert wishes to update his or her personally identifiable information, such as a mailing address, or if an Expert no longer desires eZdia's service, eZdia will endeavor to provide a way to correct, update or opt-out of any of eZdia's services. This can usually be done from within the Expert’s eZdia account, or by e-mailing Customer Support at service@eZdia.com.

International Users
eZdia makes no claim that the content of the Site is appropriate or may be downloaded outside the United States. eZdia.com may contain links to Web sites operated by third parties. eZdia has no control over such sites and the information provided in them. Expert acknowledges and agrees that eZdia is not responsible for the availability of such third party Web sites and will not be responsible or liable for any content, advertising, products, privacy policy or other materials contained therein. Expert warrants and agrees that eZdia will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, products or services available on or through any third party Web sites. eZdia encourages Expert to be aware when he or she leaves eZdia.com and to read the privacy statements of each and every Web site that collects personally identifiable information.
Advertisements
eZdia may include in eZdia.com advertisements on its own behalf or paid advertisements on behalf of interested companies and/or individuals. By clicking on the advertisements, the Expert may be shifted to a Web site of the advertiser or receive other messages, information or offers from the advertiser. Expert acknowledges and agrees that eZdia is not liable for the privacy practices of advertisers or the content of their Web sites, information, messages or offers. Expert is wholly liable for all communications with advertisers and for all transactions subsequently executed.
Modifications and Termination of eZdia.com
eZdia reserves the right to modify or discontinue, temporarily or permanently, the services in eZdia.com, with or without notice to Expert. Expert agrees that eZdia shall not be liable to Expert or any third party for any modification or discontinuance to eZdia.com's services, or for any losses or damages that may result to Expert or his or her Members from such discontinuation or interruption of service.
eZdia's services depend upon different factors such as: software, hardware and communications networks of eZdia, its contractors and suppliers. Hence, eZdia cannot guarantee that eZdia.com will not be interrupted, or that it will be timely, secure or error-free.
eZdia, in its sole discretion and for any reason, may terminate Expert's participation in eZdia.com and refuse any and all current or future use by Expert of eZdia.com.
Termination of Account by Expert
Expert may terminate their Agreement with eZdia at any time by sending a signed notice to eZdia via mail or fax. E-mails will not be accepted. eZdia shall invalidate Expert's user name and password within thirty (30) days of receiving such notice. Expert may inactivate his or her own account for any desired period of time from within their eZdia account. Notwithstanding termination, all obligations of Expert under this Agreement relating to any activity prior to the termination date shall remain in full force and effect.
Intellectual Property
eZdia is the sole owner of all the intellectual property, and in particular the copyright, trade marks, database and patents, in eZdia.com and in any software, application, graphics, text and other materials used therein, including the organization of the materials contained therein.
Expert may not operate robots or spiders to scan eZdia.com's database. Expert may use "deep linking" only to his or her personal Web page within eZdia.com but not to any other part thereof. Expert may not view eZdia.com with a graphic user interface different from the one designed by eZdia.
eZdia.com contains copyrighted material, trade secrets and proprietary information owned by eZdia. This Agreement does not grant the Expert any rights to patents, copyrights, trade secrets, trade names, trademarks (whether registered or unregistered), domain names or any other rights, functions or licenses in respect of eZdia.com. The Expert may not create derivative software based upon any trade secret, intellectual property or proprietary information of eZdia. Furthermore, the Expert may not sub-license, assign or transfer, sell or make any other commercial use of his or her membership in eZdia.com.
The Expert may not adapt or use any trademark or trade name, domain name similar to or likely to be confused with that of eZdia's and eZdia.com, or take any other action which infringes or impairs eZdia's trademark rights.
eZdia shall retain all ownership in and to eZdia.com and all content displayed on the eZdia.com Web site including copies of data transferred or received by Expert on the site.
Copyright Policy
eZdia respects the intellectual property of others, and we ask our users to do the same. eZdia may, in appropriate circumstances and at its discretion, terminate the account or access of users who infringe the intellectual property rights of others.
If you believe that your work has been copied in a way that constitutes copyright infringement, please provide eZdia's Copyright Agent the following information:
  1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest.
  2. A description of the copyrighted work that you claim has been infringed, including the URL (Web page address) of the location where the copyrighted work exists or a copy of the copyrighted work.
  3. A description of where the material that you claim is infringing is located on the site, including the URL
  4. your address, telephone number, and email address;
  5. a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  6. a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Limited License
eZdia grants Expert a nonexclusive, revocable right to use the Site provided that Expert does not copy, modify, create a derivative work of, reverse engineer, disassemble or otherwise attempt to discover any source code, or breach this Agreement.
Indemnification
Expert will indemnify, defend and hold harmless eZdia, and its employees, representatives, agents and Affiliates against any and all losses, damages, suits, judgments, costs and expenses (including litigation costs and reasonable attorneys' fees) arising out of or in connection with any claim, suit, action, or other proceeding brought against eZdia or such party, to the extent that such claim, suit, action or other proceeding is based on or arises from: (a) any breach of any representation, warranty, covenant or agreement to be performed by Expert according to this Agreement; (b) Expert's provision of services to any third party, regardless of whether or not they are Members of the eZdia service; or (c) any materials that Expert has posted to eZdia.com and/or any content on Expert's Web site or otherwise provided to Members. Expert represents and warrants that it maintains and will continue to maintain adequate insurance if such insurance is required by any applicable laws or regulations which apply to the provision of services by Expert, including, without limitation, professional liability insurance applicable to the legal and medical professions.
Insufficient funds in Accounts
If there are not sufficient funds in your User Account to meet outstanding fees and charges, ezdia.com reserves the right to collect any amounts owing to eZdia.com by any other legal means.
Notice
Any notice or other communication to be given hereunder will be in writing and given by facsimile, postpaid registered or certified mail, return receipt requested, or electronic mail. The date of receipt shall be deemed the date on which such notice is given.
No Assignment
Expert shall not assign this Agreement or assign, pledge or mortgage any rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without the prior, written consent of eZdia. Any purported transfer, assignment or delegation by Expert without the appropriate prior written approval will be null and void and of no force or effect.
Modifications to this Agreement
eZdia may change this Agreement by posting modifications on the Site. Unless otherwise specified by eZdia, all modifications shall be effective upon posting. Therefore, Expert is encouraged to check the terms of this Agreement frequently. By using the service or Site after the changes become effective, Expert agrees to be bound by such changes to the Agreement. If Expert does not agree to the changes, Expert may terminate access to the Site and participation in eZdia's services.
Miscellaneous
Nothing in this Agreement shall be construed as making either party the partner, joint venture, agent, legal representative, employer, or employee of the other. Neither party shall have, or hold itself out to any third party as having, any authority to make any statements, representations or commitments of any kind, or to take any action, that shall be binding on the other, except as provided for herein or authorized in writing by the party to be bound. This Agreement shall be interpreted only in accordance with the laws of the State of Texas (excluding any rules governing choice of laws) and any legal proceeding arising out this Agreement will occur exclusively in courts of Houston, TX. Expert agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to this Agreement or the Site must be filed within one (1) year after such claim or cause of action arose or be forever barred. This Agreement will be binding on and will inure to the benefit of the legal representatives, successors and assigns of the parties hereto. This Agreement (and the policies referenced herein and incorporated by reference) constitutes the entire agreement between eZdia and Expert with respect to the subject matter hereof, and Expert has not relied upon any promises or representations by eZdia with respect to the subject matter except as set forth herein. Experts are prohibited from providing services to Members who live in a country which is prohibited by law, regulation, treaty or administrative act from entering into trade relations with the United States. Such countries include, without limitation, Cuba, Iran, Libya, North Korea, Syria and Sudan. In the event of any conflict between this Agreement and the Member Agreement, this Agreement shall take precedence.
No waiver, concession, extension, representation or any alteration or addition to these Agreement or pursuant hereto will be effective unless made expressly and in writing. The paragraph headings herein are solely for the sake of convenience and will not be applied in the interpretation hereof. If any provision of this Agreement is held by a court of competent jurisdiction to be illegal, invalid, unenforceable or otherwise contrary to law, the remaining provisions of this Agreement will remain in full force and effect.
Violation
The Member may report any violation of this Agreement to service@eZdia.com.
